These Terms govern your use of the InclusionWorks platform (the “Service”) provided by GNOSIS Ethical Intelligence (“GNOSIS”). By accessing or using the Service, you agree to these Terms.

1. Use of the Service

The Service is licensed for use by school districts and their authorized users. You agree to use the Service only for lawful purposes and in accordance with your district's policies and applicable law.

2. Accounts

You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized access.

3. Acceptable Conduct

  • Do not submit content that is unlawful, harassing, or knowingly false.
  • Do not attempt to access data that does not belong to you.
  • Do not interfere with the integrity or security of the Service.

4. Intellectual Property

The Service, including GNOSIS, ARI scoring methodology, dashboards, and all related software and brand marks, are the property of GNOSIS. You receive a limited, non-exclusive licence to use the Service during your subscription term.

5. District Data

District-submitted data remains the property of the district. We process such data as described in our Privacy Policy and only as necessary to deliver the Service.

6. Service Availability

We work to provide a reliable Service but do not warrant uninterrupted availability. Maintenance windows and incident communications will be shared with district administrators.

7. Disclaimers

GNOSIS outputs are decision-support tools, not legal advice or substitutes for professional judgment. Districts remain responsible for accommodation, accountability, and reporting decisions.

8. Limitation of Liability

To the maximum extent permitted by law, GNOSIS's aggregate liability arising out of these Terms is limited to the fees paid for the Service in the 12 months preceding the claim.

9. Termination

Either party may terminate in accordance with the governing master agreement. Upon termination, district data will be exported or deleted in accordance with the agreed schedule.

10. Governing Law

These Terms are governed by the laws of the Province of Newfoundland and Labrador and the federal laws of Canada applicable therein.
